Keats is a Markdown editor for macOS, published by AKP Ventures Ltd, a company registered in the United Kingdom. These terms apply when you install the app or buy a Keats AI subscription. If you do not accept them, do not use Keats.
1. The licence you get
We give you a personal, non-exclusive licence to install and run Keats on Macs that you own or control. You may not resell the app, rent it out, or present it as your own product. We keep all rights that these terms do not give you.
2. Your files stay yours
Keats reads and writes ordinary files on your Mac. We claim no rights over your documents or over the text that Keats helps you write. You are responsible for keeping your own backups.
3. Free use with your own AI provider
The editor is free. You may connect your own account with a supported AI provider, such as OpenRouter or OpenAI. When you do this, the app talks to that provider directly, your agreement with that provider applies, and you pay that provider. No Keats account is needed.
4. Keats AI subscriptions
Plus and Pro are monthly subscriptions that give you AI credit to spend inside Keats:
- Plus costs $5 a month and gives $5 of credit each month.
- Pro costs $20 a month and gives $20 of credit each month.
Credit is added when each monthly payment succeeds. Credit is a prepaid allowance for AI use inside Keats. It is not money, it earns no interest, and it cannot be transferred, sold, or exchanged for cash.
Unused credit does not carry into the next month. Each monthly payment starts a new allowance.
AI usage is measured in tokens and priced by the model you choose. The app shows token counts and cost while you write. When your credit runs out, AI features stop until the next payment or until you connect your own provider. The editor keeps working either way.
5. Payment and cancellation
Payments are processed by Stripe, which acts as the merchant of record for these subscriptions. Stripe collects payment, handles any sales tax or VAT that applies, and appears on your statement. Prices are in US dollars and exclude tax unless stated.
Subscriptions renew each month until you cancel. You can cancel at any time from the account panel in the app or on this website. Cancellation stops the next payment. Your plan and any remaining credit run to the end of the period you have paid for. We do not give partial refunds for an unused part of a month, except where the law requires it.
We may change prices or plan contents. We will tell you before a change affects a renewal, and you may cancel if you do not accept it.
6. Fair use
You agree not to:
- use Keats to break the law or infringe anyone's rights;
- resell, share, or automate access to your Keats AI credit;
- work around credit limits, or interfere with the service;
- extract our AI keys or use them outside the app.
We may suspend an account that does these things. Where the cause is clearly deliberate, we may end it without a refund.
7. AI output
Keats suggests text using third-party AI models. Suggestions can be wrong, biased, or unoriginal. You decide what to accept, and you are responsible for what you publish. We give no warranty that output is accurate, suitable, or free of third-party rights.
8. Availability
The app runs on your Mac and does not need our servers to edit files. Account, billing, credit, and update services do need them, and those services may be interrupted for maintenance or for reasons beyond our control. We do not promise uninterrupted service.
9. Beta software
Keats is early software and is offered as it is. Until it is notarized by Apple, macOS asks you to confirm the first launch.
10. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, we are not liable for lost profits, lost data, or indirect loss, and our total liability for any claim is limited to what you paid us in the twelve months before it arose.
If you are a consumer, you keep your statutory rights, and these terms do not reduce them.
11. Ending the agreement
You may stop using Keats at any time by cancelling any subscription and deleting the app. We may end this agreement if you break these terms. Sections about your files, liability, and governing law survive.
12. Changes to these terms
We may update these terms. The date at the top shows the current version. If a change is significant, we will tell account holders by email before it takes effect.
13. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer elsewhere in the UK, you may also use your local courts.
